- Your negligence or willful misconduct

12. Governing Law and Dispute Resolution

If arbitration does not apply or is waived by both parties:

- You consent to personal jurisdiction in Hong Kong
12.4 Class Action Waiver
YOU AND BETA TRADES AGREE:
- Disputes resolved on an individual basis only
- No class actions, class arbitrations, or representative actions
- No consolidation with other claims without written consent
12.5 Injunctive Relief
Either party may seek injunctive or equitable relief in court to:
- Prevent irreparable harm
- Enforce intellectual property rights
- Protect confidential information
This does not waive the arbitration agreement for other disputes.
12.6 Costs and Fees
Arbitration Costs:
- Each party bears its own attorneys’ fees
- Arbitration fees split equally (unless arbitrator decides otherwise)
- Prevailing party may recover costs as determined by arbitrator

- Prevailing party entitled to recover reasonable attorneys’ fees and costs
13. Term and Termination
13.1 Term
These Terms remain in effect while you use our services or maintain an account.
13.2 Termination by You

- Cancelling active subscriptions
Effect: Access to services will be revoked within 5 business days.

If you issue a purchase order:

SLAs for specific services may be provided separately. In case of conflict between these Terms and an SLA, the SLA prevails for that service.
